Caribbean Connector Terms of Agreement

1. Introduction

POWER INC. shall be used through this document to represent the company of Provide Opportunity with Economic Relief INC. Caribbean Connector is a product of POWER INC.

 

POWER INC. presents Caribbean Connector, a platform designed to connect Caribbean communities and cultures globally. By using Caribbean Connector, you agree to these Terms of Agreement, which govern your use of the platform, products, features, and services provided by POWER INC. Separate terms may apply, as explicitly stated.

 

2. User Agreement

a.        By crating and account or using Caribbean Connector, you enter a legally binding contract with POWER INC. Ensure you read and understand these terms.

b.        If you disagree with this contract, do not join or use Caribbean Connector.

c.        The Privacy Policy and Cookie Policy are integral parts of this agreement, covering the collection, use, and storage of your personal information.

 

3. Membership

a.        Users are classified as "Members" or "Visitors," with distinct rights and obligations.

b.        Changes to these terms will be communicated, and your continued use implies acceptance of the updated terms.

 

4. Global Access and Use

a.        Caribbean Connector operates worldwide, and data may be stored and processed globally, subject to POWER INC.'s control.

b.        Users consent to international data transfers as outlined in the privacy policy.

c.        Users must comply with usage standards and refrain from unlawful, misleading, or discriminatory activities.

 

5. Minimum Age and Usage

a.        Users must be at least 13 years old to access Caribbean Connector.

b.        Certain jurisdictions may require a higher minimum age for lawful provision of services.

c.        Users must not use Caribbean Connector for unlawful, misleading, or fraudulent activities.

d.        Prohibited users include convicted sex offenders and those disabled for violations of terms or policies.

 

6. Account Responsibilities

a.        Members agree to keep passwords confidential and follow rules and laws. Users must comply with dos and don’ts, policies, and applicable laws.

b.         Account ownership belongs to the user, with exceptions for Services purchased by another party.

 

7. Payment and Content Removal

a.        Users must honor payment obligations, and POWER INC. and Caribbean Connector may remove or restrict content violating terms or policies.

b.        Removal or restriction of content may occur for legal or regulatory reasons.

a.        Fees and taxes may apply, and pricing modifications may occur with reasonable notice.

 

8. Intellectual Property

a.        Users own their content but grant POWER INC. a non-exclusive license.  

b.        Users must respect intellectual property rights and adhere to brand usage practices.

c.        Personal data handling is governed by the Privacy Policy.

 

9. Advertisements and Privacy

a.        Users agree to receive ads based on activity and interests. Privacy is a priority, and personal data is not sold.

b.        Limits on liability and disclaimer of warranties are outlined.

 

10. Disputes

Clear rules are provided for dispute resolution, specifying the applicable laws.

 

11. Data Collection and Use

a.        Users acknowledge that Caribbean Connector may display ads from businesses, using personal data for relevance.

b.        Protection of privacy remains a priority, and personal data is handled responsibly in accordance with the Privacy Policy.

 

12. Limits on Liability

a.        Caribbean Connector is provided "as is," and POWER INC. disclaims certain warranties and without guarantees of safety, security, or error-free functionality.

b.        DISCLAIMERS: All warranties, whether express or implied, are disclaimed, including those of merchantability, fitness for a particular purpose, title, and non-infringement.

 

13. Liability Limits

a.        Our liability is limited to the fullest extent permitted by law. We are not responsible for the actions or conduct of users or the content they share.

b.        Under no circumstance shall our liability exceed the greater of $100 USD in totality, and we are not liable for lost profits, revenues, information, or data.

 

14. Dispute Resolution

a.        Clear rules are provided for dispute resolution, specifying the venue and applicable laws.

b.        Disputes will be resolved according to the laws of the jurisdiction mentioned in the agreement.

 

15. Changes to contract 

a.        POWER INC. and Caribbean Connector may modify this contract, privacy policy, and cookie policy and users will be notified of material changes.

b.        POWER INC. and Caribbean Connector reserve the right to change, suspend, or discontinue services, with modifications to prices prospectively communicated.

c.        Changes cannot be retroactive, but continued use implies acceptance of updated terms.

 

16. Service Availability

a.        Caribbean Connector is not a storage service, and users acknowledge that we have no obligation to store or provide copies of posted content.

b.        We reserve the right to change, suspend, or discontinue any services.

 

17. Governing Law and Jurisdiction

a.        These Terms of Agreement are governed by the laws of Delaware, USA, and any disputes will be resolved in accordance with these laws.

b.        Users agree to the venue and jurisdiction specified in the agreement for dispute resolution.

 

18. Termination of Contract

a.        Users have the right to terminate this contract by closing their account and ceasing to access or use Caribbean Connector services.

b.        POWER INC. and Caribbean Connector also reserve the right to terminate or suspend user accounts or services for violations of these terms.

c.        POWER INC. reserves the right to terminate Caribbean Connector services at any time, with notice provided to users.

 

19. Effective Termination

Termination of this agreement, whether by the user or POWER INC., does not relieve the user of their obligations under these terms.

 

20. User Obligations

a.        Users agree to provide truthful information and content that complies with laws and others' rights.

b.        Caribbean Connector may be required to remove certain information or content in specific countries due to legal obligations.

 

21. Feedback and Suggestions

a.        Users are encouraged to provide feedback on Caribbean Connector services to help improve user experience.

b.        Users agree that any feedback provided regarding Caribbean Connector services can be used and shared by POWER INC. without compensation.

c.        The user promises to provide only information and content they have the right to share, ensuring truthfulness.

 

22. Severability

a.        If any provision of this agreement is found to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable.

b.        The parties will replace the invalid or unenforceable provision with a valid and enforceable provision that most closely aligns with the original intent.

 

23. Entire Agreement

a.        These Terms of Agreement, along with the Privacy Policy and Cookie Policy, constitute the entire agreement between the user and POWER INC. regarding Caribbean Connector.

b.        No other representations, warranties, or agreements, whether verbal or written, shall be binding unless expressly stated in this agreement.

 

24. Indemnification

a.        Users agree to indemnify and hold POWER INC. and Caribbean Connector harmless from any claims, damages, losses, or liabilities arising from their use of Caribbean Connector services or any violation of these terms.

b.        This indemnification includes legal fees and costs incurred by POWER INC. and Caribbean Connector in defending against such claims.

 

25. Modifications to Services

a.        POWER INC. and Caribbean Connector reserve the right to modify or discontinue any aspect of Caribbean Connector services, including features, apps, and technologies, at their discretion.

b.        Notice of modifications will be provided through the Services, giving users the opportunity to review changes before they become effective.

 

26. Third-Party Links and Content

a.        Caribbean Connector may contain links to third-party websites or content. Users acknowledge that POWER INC. is not responsible for the content or practices of these third parties.

b.        Users access third-party links at their own risk, and POWER INC. disclaims any liability arising from such third-party interactions.

 

27. No Third-Party Beneficiaries

These terms do not confer any rights or benefits upon any third parties.

 

28. Force Majeure

a.        Neither party shall be liable for any failure or delay in performing their obligations under these terms due to causes beyond their reasonable control, including acts of nature, war, terrorism, or technical malfunctions.

b.        The affected party will promptly notify the other party of the force majeure event and take reasonable steps to mitigate its impact.

 

29. Waiver

a.        The failure of POWER INC. to enforce any provision of these terms shall not be deemed a waiver of such provision.

b.         Waiver of any provision shall only be effective if made in writing and signed by an authorized representative of POWER INC.

 

30. Confidentiality

a.        Users acknowledge that certain information provided by POWER INC. may be confidential. Users agree not to disclose or use confidential information for any purpose other than the intended use of Caribbean Connector services.

b.         This obligation of confidentiality continues even after the termination of the user's account.

 

31. Governing Language

In the event of any discrepancy or conflict between translations of these terms, the English version shall prevail.

 

32. Effective Date

These Terms of Agreement are effective as of 01 May 2024 and apply to all users from this date onward.

 

33. Acknowledgment

By using Caribbean Connector, users acknowledge that they have read, understood, and agreed to these Terms of Agreement, including the Privacy Policy and Cookie Policy.

 

34. Future Communication

Users agree to receive future communications, updates, and notices related to Caribbean Connector services.

 

35. Survival of Terms

In the event of termination or expiration of this agreement, certain provisions, including but not limited to intellectual property, indemnification, and confidentiality, shall survive.

 

36. No Agency Relationship

a.        Nothing in these terms creates an agency, partnership, or joint venture between the user and POWER INC.

b.        Users do not have the authority to bind or represent POWER INC. and Caribbean Connector in any way.

 

37. Updates and Notifications

a.        Users agree to receive updates and notifications through the contact information provided, including email and in-app notifications.

b.        It is the user's responsibility to keep their contact information up to date.

 

38. Acceptance of Changes

Continued use of Caribbean Connector services after the effective date of any changes to these terms implies acceptance of those changes.

 

39. Interpretation

 The headings and subheadings in these terms are for convenience only and do not affect the interpretation of the provisions.

 

40. Entire Agreement

These Terms of Agreement, along with the Privacy Policy and Cookie Policy, constitute the entire agreement between the user and POWER INC. regarding Caribbean Connector.

 

41. Amendment of Terms

POWER INC. reserves the right to amend these Terms of Agreement at any time. Users will be notified of changes, and continued use of Caribbean Connector services implies acceptance of the updated terms.

 

42. Binding Agreement

By using Caribbean Connector, users affirm that they have the legal capacity to enter into a binding contract and comply with these terms.

 

43. Execution of Agreement

These terms are executed electronically, and users acknowledge that electronic acceptance is equivalent to a handwritten signature.

 

44. Future Revisions

a. POWER INC. may revise and update these terms as necessary. Users are encouraged to review the terms periodically for any changes.
